1. Agreement to these terms

These Terms of Use ("Terms") are a legal agreement between you and Housane ("Housane," "we," "us" or "our") and govern your use of housane.com and any related apps, emails, texts and services (together, the "Services"). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

If you list a business or buy a plan or leads, our Pro Terms, Lead Program Terms and Billing and Refund Policy also apply. If those documents conflict with these Terms on a topic they cover, they control for that topic.

2. What Housane is, and is not

Housane is an online directory and referral platform that helps people find independent home service providers ("Pros") and helps Pros reach potential customers. Housane does not perform home services, is not a contractor, does not employ Pros, and is not a party to any agreement between you and a Pro.

Pros are independent businesses solely responsible for their work, pricing, licenses, permits, insurance, employees, warranties and conduct. Any badge, ranking, rating or placement on Housane, including Housane Verified, is information to help you decide, not a guarantee or endorsement. You are responsible for deciding whether to hire a Pro and for confirming licenses, insurance and contract terms before work begins. See our Disclaimer.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You may need an account to use some features. You agree to give accurate information, keep it current, keep your password confidential and tell us right away about any unauthorized use. You are responsible for activity under your account.

If you use the Services for a business, you confirm you are authorized to bind that business to these Terms.

4. Quote requests and communications

When you submit a quote request, you ask us to share your request and contact details with up to 3 Pros who may be able to help, and you agree that Housane and those Pros may contact you about your request as described in our Communication Consent terms. You can opt out of texts by replying STOP and can ask us to close your request at any time.

You agree to provide accurate information in requests and not to submit requests for someone else without their permission.

5. Your content and reviews

You may post reviews, photos, business details, messages and other content ("User Content"). You keep ownership of your User Content, but you grant Housane a worldwide, non exclusive, royalty free, transferable and sublicensable license to host, store, use, reproduce, display, adapt, publish and distribute it in connection with operating, improving and promoting the Services. This license lasts as long as your content is on the Services and for a reasonable time after removal for backups and legal records.

You confirm you have the rights needed to post your User Content and that it is truthful and follows our Review and Content Guidelines. We may, but do not have to, review, moderate, decline or remove User Content at our discretion. Reviews reflect the opinions of the people who wrote them, not Housane.

6. Acceptable use

You agree not to:

• Post false, misleading, defamatory, harassing, hateful, discriminatory or illegal content.
• Write or pay for fake reviews, review your own business, or offer incentives for positive reviews.
• Impersonate any person or business, or misrepresent licenses, insurance, credentials or affiliations.
• Scrape, crawl, copy or harvest data from the Services, or use them to build a competing database, without our written permission.
• Use contact details from the Services to send spam or unsolicited marketing.
• Interfere with, probe or break the security of the Services, or upload malware.
• Use the Services in violation of any law, including consumer protection, fair housing, anti discrimination, privacy and telemarketing laws.

7. Our intellectual property

The Services, including our software, design, text, graphics, logos and the Housane name and marks, are owned by Housane or our licensors and protected by intellectual property laws. We give you a limited, revocable, non transferable license to use the Services for their intended purpose. You may not use our marks without written permission.

If you believe content on Housane infringes your copyright, see our Copyright Policy. If you send us feedback or ideas, we may use them without obligation to you.

8. Third party links and services

The Services may link to or integrate with websites and services we do not control, including Pro websites, payment processors and map providers. We are not responsible for their content, policies or practices, and your use of them is at your own risk.

9. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Housane disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non infringement. We do not warrant that the Services will be uninterrupted, accurate or error free, or that any Pro will be available, qualified, licensed, insured or will perform satisfactory work. Your dealings with Pros are solely between you and them.

10. Limitation of liability

To the fullest extent permitted by law, Housane and its owners, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data or goodwill, or for any property damage, personal injury or other loss arising from services performed or not performed by a Pro, arising out of or related to the Services, even if advised of the possibility. Our total liability for any claim related to the Services is limited to the greater of (a) the amount you paid Housane in the 12 months before the claim or (b) one hundred US dollars ($100).

Some states do not allow certain limits on liability, so some of these limits may not apply to you.

11. Indemnification

You agree to defend, indemnify and hold harmless Housane and its owners, officers, employees and agents from any claims, damages, losses and expenses, including reasonable attorneys fees, arising from your use of the Services, your User Content, your violation of these Terms or the law, or, if you are a Pro, the services you provide or fail to provide.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or end your access, remove content or listings, or close accounts at any time if we believe you violated these Terms or the law, created risk for others, or for any other reason permitted by law. Sections that by their nature should survive termination will survive.

13. Disputes, arbitration and class action waiver

Please read this section carefully. It affects your legal rights. Before filing a claim, you agree to contact us at now@housane.com and try to resolve the dispute informally for at least 30 days.

If we cannot resolve it, you and Housane agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Rules for business users), rather than in court, except that either party may bring an individual claim in small claims court or seek injunctive relief for intellectual property misuse. The Federal Arbitration Act governs this section.

You and Housane agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may not consolidate claims or preside over any class proceeding.

You may opt out of this arbitration agreement by emailing now@housane.com within 30 days after you first accept these Terms, with your name, address and a clear statement that you opt out. If this section is found unenforceable, the rest of these Terms still apply and disputes will be resolved in the courts described below.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict of law rules. Subject to the arbitration section, any court proceeding will be brought in the state or federal courts located in Florida, and you consent to their jurisdiction.

15. Changes to these terms

We may update these Terms from time to time. If changes are material, we will give notice, for example by posting on the site or emailing account holders. Changes apply from the effective date shown. If you keep using the Services after that date, you accept the updated Terms.

16. General

These Terms, with the policies they reference, are the entire agreement between you and Housane about the Services. If any part is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. There are no third party beneficiaries.
